The Board of Directors of the Company, through the Audit and Control Committee, will receive periodic information on the measures and procedures adopted in the Group to implement and follow up on the provisions of this Policy. In terms of governance, the Company's Board is responsible for determining and approving the Company's Sustainability Policy. The Audit and Control Committee, which reports directly to the Board, is responsible for monitoring compliance with the Company's sustainability policies and rules (i) assessing and periodically reviewing the Sustainability Policy so that it fulfils its mission to promote the corporate interest and takes into account, as appropriate, the legitimate interests of other stakeholders; (ii) ensuring that the Company's practices in environmental and social matters are in line with the strategy and policy set; and (iii) monitoring and assessing the processes of relations with the various stakeholders. The Company's Audit and Control Committee is also responsible for overseeing compliance with the management and control of risks affecting the Company, including climate-related risks. Accordingly, the day-to-day implementation and operational monitoring of the Sustainability Policy and climate issues is carried out by the Secretary of the Board, who coordinates actions between the different companies and areas of the Group.

During the first months of 2022, the Company structured the Energy Transition Unit, reporting to the CEO, which coordinates the actions of the entire Company in this area. This Unit currently employs more than 30 people and is expected to continue to grow in the coming years. [...] Along these lines, Técnicas Reunidas upholds its strong commitment to research, development, and upscaling of new technologies focused on energy transition. To this end, it has set up an Observatory that identifies internal and external initiatives related to the energy transition, an Energy Transition Committee, and a Technology Watch Observatory, created in 2022. [...] In 2022 the Company has continued its intense commercial activity in this area and, as a result, the number of bids and projects related to energy transition has grown significantly. The Company was awarded 21 Energy Transition projects (feasibility studies, basic engineering, and FEED), including important strategic projects related to circular economy, decarbonization, biomethanol, green ammonia, and green hydrogen production and compression, both in Spain and abroad. Along these lines, Técnicas Reunidas has managed to position itself strategically for the execution phase of these projects, some of which are planned for 2023, and as a reference company in the industry. Describe the process(es) your organization has in place to ensure that your engagement activities are consistent with your overall climate change strategy[…]TR is working in an in-depth analysis of its corporative carbon footprint and CO2 emissions in order to develop an action plan to reduce these emissions in accordance with SBTi. Besides, the Company has direct access to certain policy makers at different levels (this is, Spain and European Union) in order to ensure that our engagement activities are consistent with out overall climate change strategy. For this purpose, the Company has had during 2021 the chance to explain directly to these policy makers our Sustainability Policy, approved in 2020, and our Sustainability Plan, approved in 2021, both at Spanish and European levels, so the Company has ensured that these documents and, in general, all our Sustainability activities are consistent with our climate change strategy.
