Assists our Board with oversight of executive compensation and management development, including: - recommending to our Board the compensation for our CEO and approving the compensation for our other executive officers; - administration of our short- and long-term incentive plans; - reviewing executive and senior management development programs and succession plans; and - recommending to our Board the compensation of our non-employee directors. Assists our Board oversight of Corporate Governance, including: - identifying, selecting, evaluating and recommending Board nominees to stand for election at the annual meeting of stockholders and fill vacancies as they arise; - overseeing the Corporate Governance Principles and Code of Business Conduct and its application to Board members; - overseeing our Board and committee evaluation process; and - oversight of our lobbying priorities and activities, including associations with certain trade and/or legislative organizations.

Biogen is a member of CERES and has established a regular cadence for meetings between the government affairs team and the head of sustainability. This allows continued focus on topics which are important to Biogen as part of our commitment to climate transition.
