The Company has given the Control, Risks and Related Parties Committee responsibility for sustainability in order to implement the initiatives on sustainable development promoted by the Group. For further information in this regard, see Section 9.3 of this Report. On June 10, 2020, the Company also set up a special Internal Committee, of a mixed composition of managerial and advisory members, with the task of supporting the Board of Directors in the analysis of issues relevant to the generation of long-term value. Specifically, the Committee is responsible for (i) supporting the delegated bodies in updating the Group sustainability plan and 2025-2029 Strategic Plan, (ii) managing and coordinating sustainable development projects and activities for the Group, in accordance with the goals of the 2025-2029 Strategic Plan, (iii) supporting the competent functions in the preparation of the Sustainability Statement and (iv) ensuring an increasing awareness of sustainability issues within the organisation. [...] The Control, Risks and Related Parties Committee is, in addition, assigned the following responsibilities in the field of sustainability to be exercised after coordination with the Group Sustainability Management Committee established by the Company, which coordinates the process of preparing the Consolidated Sustainability Statement, including the analysis of impacts, risks and opportunities, as well as the Group's sustainability strategies, interacting with the local sustainability committees of the main subsidiaries, as well as with the respective CEOs and Boards of Directors, in coordination with the Sustainability Manager of the parent company. Specifically, the Control, Risks and Related Parties Committee is assigned the following responsibilities: (i) promoting guidelines, to be submitted to the Board of Directors for approval, which integrate sustainability into business processes so as to create sustainable value over time for the shareholders and for all other stakeholders; (ii) disseminating sustainability culture among employees, shareholders, customers and stakeholders in general; (iii) examining the environmental, economic, and social impacts of business activities; (iv) expressing opinions concerning the annual and multi-year sustainability objectives to be achieved with specific reference to the management of medium- and long-term related risks concerning the Company and its subsidiaries, so that they are correctly identified and adequately measured, managed and monitored; (v) monitoring the Company's positioning in the main sustainability indices; (vi) expressing opinions on the initiatives and programmes promoted by the Company or its subsidiaries in the field of corporate social responsibility and Health, Safety, and Environment; (vii) at the indication of the Board of Directors, formulating opinions and proposals concerning specific issues of corporate social responsibility; (viii) the review, before the Board of Directors, of the Consolidated Sustainability Statement submitted annually to the Board of Directors; (ix) coordinating with the Remuneration Committee regarding the profiles involved in the integration of ESG objectives into the Remuneration Policy.

The Responsible Lobbying Policy contains the principles of conduct to be adopted by the Group in terms of compliance with the law, fairness, transparency, and disclosures. [...] The Anti-Bribery and Anti-Corruption Policy and the Responsible Lobbying Policy define the principles of conduct for the whole Group. [...] The Parent, through its sustainability indicator reporting system, obtains information on any events or incidents of corruption from subsidiaries that feed into specific indicators. [...] In addition, the Anti-Bribery and Anti-Corruption Policy, updated in 2021, contains general principles of conduct for the performance of corporate activities in areas particularly at risk of corruption; gifts and entertainment expenses to public and private entities, management of human resources (recruitment and hiring, bonuses, etc.), joint ventures, acquisitions and disposals, consultancy services, brokerage, relations with business partners and suppliers, donations, excess fees, non-profit, events and sponsorships, gifts and entertainment expenses, miscellaneous, including facilitation payments and business trips.

The Politica sulle Pratiche Lobbistiche Responsabili ricorda i principi di comportamento da adottare, in termini di rispetto della legge, correttezza, trasparenza e disclosure. [...] Con riferimento alle proprie attività, il Gruppo ha identificato come principali rischi legati alla sicurezza informatica il phishing via e-mail (messaggi fraudolenti creati in modo da sembrare autentici, che generalmente richiedono di fornire informazioni personali sensibili), i processi di infezione complessi (malware), i ransomware (classe di malware che rende inaccessibili i dati del computer e spesso richiede il pagamento di un riscatto) e gli attacchi ambientali IoT (Internet of Things, Internet delle Cose). Per mitigare tali rischi sono state emanate delle politiche di comportamento a livello di Gruppo e attuate azioni al fine di identificare, proteggere, rilevare, rispondere e ripristinare eventuali situazioni di criticità intervenute, tra cui attività di comunicazione e formazione specifica. [...] La Politica sulla Sicurezza Informatica richiama, tra le altre cose, i principi generali del Gruppo F.I.L.A. in materia di sicurezza informatica: Sistemi informativi aziendali: gli strumenti e le applicazioni software forniti (sistemi di posta elettronica, i sistemi di file locali/di rete, nonché le posizioni di archiviazione dei dati nel Cloud) sono strumenti di lavoro, sono considerati dati aziendali e, di conseguenza, di proprietà dell'azienda; usi impropri dei sistemi aziendali non sono ammessi.
