Our **NiSource Political Spending Policy** describes our governance process and approach to political contributions and expenditures. While our Board of Directors' Environmental, Social, Nominating and Governance Committee oversees our political spending and policy review, our management team is responsible for the activities, positions and decision-making consistent with this policy. Consistent with our Code of Business Conduct, we comply with all federal, state and local laws governing corporate political participation. Procedurally, corporate political spending recommendations and decisions are reviewed and approved by senior management, and political reporting reviews are conducted before contributions are made. ###### GOVERNANCE OF CLIMATE CHANGE ISSUES
For more than a decade, NiSource's commitment to implementing our climate change policy, greenhouse gas emission reduction targets and sustainability reporting has been guided by the Environmental, Safety and Sustainability (ESS) Committee of the NiSource Board of Directors. The ESS Committee is currently chaired by Mr. Aristides Candris. Ms. Deborah Hersman, Mr. Michael Jesanis and Mr. Lloyd Yates also serve as members appointed by the Board. All members of the Board possess the necessary breadth and depth of skills and experience to oversee our business operations and long-term strategy including in the areas of Environmental, Sustainability, Corporate Responsibility and Ethics.
With respect to climate-related issues, the ESS Committee:
- Reviews and evaluates the company's programs, policies, practices and performance
- Reviews major legislation, regulation and other external influences pertaining to responsibilities of the Committee and assesses the impact on the company
- Oversees risk
Our management and leadership team continues to set and drive key priorities for NiSource, especially around the management of climate-related risks and opportunities.
A cross-functional leadership team meets monthly to identify and execute strategic initiatives that mitigate climate-related risk and advance opportunities. This team is represented by leaders in the following departments:
- Strategy & Risk
- Corporate Finance
- Legal
- Communications
- Customer Experience
- Federal Government Affairs, Environmental & Sustainability
- Regulatory & Utilities Planning

A portion of the NiSource officers' (vice president and above) long-term equity incentive (performance shares) is tied to progress against our emission reduction targets. This applies to approximately 60 individuals in addition to the CEO and named executives.

In keeping with its goal of being transparent to its stakeholders, the company engages in robust reporting of political spending and trade association dues attributable to lobbying expenditures. The NiSource Political Action Committee (NiPAC) provides employees with a voice in the political process. NiPAC is a voluntary, employee member-driven and funded political action committee, and NiPAC makes bipartisan political contributions to local, state, and federal candidates, where permitted and in accordance with established guidelines. Consistent with our commitments and our approach to engagement, the NiPAC leadership committee members evaluate candidates for support on issues important to our business. NiSource has been recognized by the Center for Political Accountability as a "First Tier" corporate citizen for its political and trade association spending disclosures.
