TürkTraktör encourages participation from all levels within the organization, especially the Board of Directors, in order to improve its performance towards sustainability targets and to ensure the effective management of non-financial risks and opportunities. At TürkTraktör, sustainability governance is carried out under the responsibility of the Board of Directors, the Sustainability Council, working groups and the Investor Relations and Sustainability Department. [...] At TürkTraktör, the Board of Directors is the highest level responsible for sustainability governance. Each short, medium and long-term goal determined under the Future Impact strategic framework is implemented upon the decision and approval of the Board of Directors. Moreover, the Board of Directors is regularly informed about the performance towards all sustainability targets through the Board of Directors meetings held at least three times a year. In 2023, three Board meetings, two physical and one online, were held. [...] The Company Leader (CEO), who is also a member of the Board of Directors, also participates in sustainability studies to be evaluated within the scope of sustainability targets in the CEO's annual performance metrics. In addition, the Company Leader is also responsible for informing the Board of Directors about all the sustainability-related processes of TürkTraktör at the Board of Directors meetings. [...] Focusing on efficiently managing sustainability efforts, the TürkTraktör Sustainability Council is composed of senior executives, and responsible for the management of all sustainability activities. The Council determines TürkTraktör's sustainability strategy, targets and actions, reviews the strategic roadmap, monitors the progress in targets and actions, follows international developments, public regulations and trends, and provides development recommendations to the working groups when necessary. The Sustainability Council meets at least four times a year. [...] The Sustainability Council is chaired by the Company Leader, who is also a member of the council. The Council members are: Commercial Business Leader, Industrial Operations Business Leader, Financial Affairs Business Leader, Purchasing Business Leader, Product Life Cycle Business Leader, Human, Culture and Transformation Business Leader, Construction Equipment and Business Unit Business Leader, and Lean, Quality and Sustainability Management Business Leader. The Sustainability Department, established under the Lean, Quality and Sustainability Management Business Leader, a member of the Sustainability Council, is responsible for the follow-up and coordination of all climate-related studies. [...] The thematic working groups under the Sustainability Council meet regularly once a month, and inform the Sustainability Council every three months. The working groups and their tasks are as follows: Climate Crisis Working Group: It is responsible for monitoring and improvement of TürkTraktör's environmental and energy targets and projects. R&D, Innovation and Technology Working Group: It is responsible for the follow-up and improvement of innovative and technological solution-oriented projects. Responsible Supply Chain Working Group: It is responsible for the follow-up and improvement of the projects related to the responsible supply chain. Social Working Group: It is responsible for target tracking, improvement and corporate social responsibility projects on diversity, inclusion, occupational health and safety. Compliance and Corporate Governance Working Group: It is responsible for monitoring the processes within the scope of Ethics and Compliance and Corporate Governance.
