Weatherford has processes for overseeing, managing, and implementing our ESG strategy at all levels of the organization, leading up to our Board of Directors. The Board's Safety, Environment, and Sustainability (SES) Committee oversees our sustainability strategy and assigns responsibility for overseeing specific ESG risks and opportunities to each of the Committees. The Board and its Committees engage with the executive leaders responsible for material topics at least once per quarter. [...] A dedicated team is in place to drive progress toward our sustainability goals. Empowered by the ESG Executive Committee, the team oversees relevant external disclosures and related assurance activities, as well as decarbonization efforts across the organization. In 2024, the team expanded to further resource internal control enhancements, data analytics, regulatory readiness, and supply chain efforts.

Describe the process(es) your organization has in place to ensure that your engagement activities are consistent with your overall climate change strategy[…]While not specifically calling out the Paris agreement, Weatherford publicly declared our commitment to Net Zero 2050 in Q1 of 202 2 and further outlined our commitment in our 2021 Sustainability Report. Our Code of Business Conduct outlines compliance to our internal integrated management system, Weatherford Operational Excellence and Performance (OEPS), which includes our Environmental Tenets management system that covers requirements for all entities and employees, as well as additional vendors and subcontractors across our value chain. The requirements of these systems are built into our employee and vendor onboarding requirements and 3rd party contracts. Employees and contractors are trained on requirements, are subject to training and competency assessments, performance reviews, audits and annual planning activities. Leading and lagging performance targets/KPIs are embedded across the business and monitored regularly. In context of the political question above, our Code of Business Conduct program prohibits contributions to political parties, leaders, or candidates using Weatherford funds or on the Company's behalf.
